1. Acceptance of Terms By accessing or using the website located at https://www.Tier4Solutions.net (the "Service") operated by Tier 4 Solutions LLC ("we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, you must terminate use of the Service immediately.
2. Description of Services Tier 4 Solutions LLC provides commercial IT managed services, website design, project management, managed home services, and AV services and support. The scope, deliverables, and fees for specific services will be governed by separate Statements of Work (SOW) or master service agreements executed between the client and Tier 4 Solutions LLC. These Terms govern general website usage and service engagements lacking a dedicated contract.
3. User Responsibilities You must provide accurate, current, and complete information when communicating with us or utilizing our Service. You are strictly prohibited from using the Service for illegal activities, distributing malicious code, attempting unauthorized access to our infrastructure, or disrupting network operations.
4. Intellectual Property All content, visual interfaces, graphics, design, compilation, information, computer code, and materials available on the Service are owned by Tier 4 Solutions LLC or its licensors. You are granted no right or license to reproduce, distribute, modify, or create derivative works from our intellectual property without explicit written authorization.
5. Payments and Billing Fees for services will be invoiced according to the terms specified in the applicable SOW. Failure to remit payment by the due date will result in immediate suspension of services. We retain the right to assess late fees on overdue balances as permitted by applicable law.
6. Disclaimer of Warranties The Service and all related outputs are provided on an "as is" and "as available" basis. Tier 4 Solutions LLC expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
7. Limitation of Liability In no event shall Tier 4 Solutions LLC, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of your access to or use of the Service. Total liability shall not exceed the amount paid by you to Tier 4 Solutions LLC for the specific service giving rise to the claim in the 12 months preceding the incident.
8. Termination We reserve the right to terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including breach of these Terms. Upon termination, your right to use the Service ceases instantly.
9. Governing Law and Jurisdiction These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles, California.
10. Modifications We reserve the right to modify or replace these Terms at any time. Revisions will be posted on this page. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.
